Terms of service

1. Acceptance of Terms

1.1. By engaging the services of The Lavish Brand Collective (referred to as "TLBC" or "we"), you agree to be bound by the following terms and conditions. These terms and conditions constitute a legally binding agreement between you and TLBC.

2. Services

2.1. TLBC provides bespoke brand management services, which may include but are not limited to brand strategy development, marketing, design, management, consulting, and other related services.

2.2. The specific services and deliverables will be outlined in a separate agreement or statement of work.

3. Payment and Billing

3.1. Payment terms and billing rates will be outlined in the proposal or agreement provided by TLBC.

3.2. Payments are due as specified in the agreement. TLBC reserves the right to suspend or terminate services for non-payment.

4. Client Responsibilities

4.1. You are responsible for providing accurate and timely information and materials necessary for the provision of services.

4.2. You agree to cooperate with TLBC in a timely manner to facilitate the project's progress.

5. Confidentiality

5.1. Both parties agree to maintain the confidentiality of all information shared during the course of the project.

5.2. TLBC may use your brand-related information for the purpose of providing services unless otherwise agreed upon.

6. Intellectual Property

6.1. Unless otherwise specified in the agreement, all intellectual property created during the course of the project, including but not limited to branding materials and strategies, will be the property of TLBC until full payment is received.

7. Termination

7.1. Either party may terminate the agreement by providing written notice as per the terms specified in the agreement.

7.2. Upon termination, any outstanding payments will become due immediately.

8. Limitation of Liability

8.1. TLBC shall not be liable for any indirect, consequential, or special damages arising from the provision of services.

9. No Refund Policy

9.1. TLBC operates under a strict "No Refund Policy." Once services have commenced, no refunds will be issued.

10. Pause in Service Policy

10.1. TLBC may, at its discretion, agree to temporarily pause services in exceptional circumstances. Any such arrangements will be made in writing and may involve specific terms and conditions that both parties must agree to.

11. Reinstatement Fee

11.1. TLBC reserves the right to apply a reinstatement fee of $500 to all projects paused for a period exceeding three months. This fee will be due and payable upon the request to resume services.

12. Non-Compete

12.1. During the term of client agreement and services are actively being rendered, TLBC agrees not to engage in any brand management or related services with any direct competitor without obtaining prior written approval from the client. This restriction applies only while your project is under contract with TLBC.

13. Portfolio and Marketing Usage

13.1. TLBC reserves the right to use any deliverables and related materials created during the course of the project for promotional and marketing purposes, including but not limited to showcasing them in our portfolio, website, social media, and marketing materials.

14. Working with TLBC Staff

14.1. You agree not to directly hire or engage any staff, employees, or contractors of TLBC for brand management or related services outside the scope of this agreement during its term and for a period of 6 months following its termination without prior written consent from TLBC.

15. Changes to Terms

15.1. TLBC may amend these terms and conditions from time to time. You will be notified of any changes.

16. Governing Law

16.1. These terms and conditions shall be governed by and interpreted in accordance with the laws of Texas.
